MEMORANDUM OF AGREEMENT BETWEEN UMASS/MEMORIAL HEALTH CARE AND THE MASSACHUSETTS NURSES ASSOCIATION

It is hereby agreed by and between UMass/Memorial Health Care (UMMHC) and the Massachusetts Nurses Associations (MNA) that the following terms will govern the parties conduct during the organizing, election, and recognition of the MNA at the Memorial Campus, Hahnemann Campus, and Home Health of UMMHC.

  1. Neither UMMHC nor the MNA will engage in activities or communications regarding representation by the MNA that threatens, intimidates, coerces or promises special benefit in exchange for supporting either UMMHC or the MNA position in organizing or a representation election.
  2. All statements made by UMMHC or the MNA representatives during organizing or during the election process will be truthful and accurate. Any statement that is demonstrably inaccurate will be corrected publicly by the party that made the inaccurate statement.
  3. At any meeting called by UMMHC to discuss the issue of union representation, attendance by registered nurses will be voluntary.
  4. UMMHC will not initiate any one-on-one conversations with registered nurses regarding union representation.
  5. Registered nurses are free to discuss the issue of MNA representation among themselves in any area, subject to the same rules as any other private conversation among nurses.
  6. UMMHC agrees that it will not hire any consultant, law firm, company, or other persons and/or organization to conduct a campaign against the MNA over the recognition of it as the sole and exclusive bargaining agent for registered nurses of UMMHC employed at the Memorial Campus, Hahnemann Campus, and Home Health.
  7. UMMHC will provide the MNA with an office at the Memorial Campus for MNA use during organizing and a representation election.
  8. The MNA may reserve facility conference rooms, subject to established procedures and normal use limitations, for the purpose of meeting with registered nurses organizing with the MNA.
  9. Any dispute arising from the terms of this Agreement that cannot be resolved by the parties may be submitted to the American Arbitration Association (AAA) under its rules for expedited arbitration.
  10. UMMHC will instruct all management staff in writing of the requirements of this Agreement within five (5) days of this Agreement.
